European Deal Momentum: Three trends to watch in 2021

With M&A activity expected to accelerate in 2021, Datasite in parntership with FT Live, examined the defining trends for the year ahead, focusing on three key areas that dealmakers will need to monitor for successful deal making in 2021. 

Special purpose acquisition companies have exploded in the US, and sponsors are now turning their attention to European and UK companies amid an overhaul of listing requirements in London and Amsterdam, adding a significant source of competition among bidders for increasingly competitive assets. 

ESG continues to be a key strategic concern for investors and stakeholders will need to manage and respond to these requests, formulating a robust ESG strategy and framework.

Finally, carveouts and divestitures are expected to keep dealmakers busy as corporate continue to restructure and position themselves for growth and companies will need to think carefully about how to unlock value from this process and manage the risks.

Dwayne Lysaght is Co-head of EMEA M&A, and before that head of Corporate Finance and M&A for J.P. Morgan Cazenove. Dwayne joined J.P. Morgan’s UK M&A Team after graduating from University College Dublin with a joint honours degree in International Commerce and Spanish. He was appointed as Staffing Officer for J.P. Morgan's London Advisory Group in 2003, after which he joined the European Healthcare Team, focussing on pharma and medtech coverage. On establishment of the J.P. Morgan Cazenove joint venture, Dwayne re-joined M&A.

Joana Rocha Scaff is a Managing Director of Neuberger Berman, Head of Europe Private Equity and a member of the Co-Investment, Private Investment Portfolios and Secondary Investment Committees. Ms Rocha Scaff has over 20 years of experience in financial markets, the majority in private equity investing and prior to that in investment banking. She has been with the firm since 2005. Prior to Neuberger Berman, Ms Rocha Scaff worked in the investment banking division of Lehman Brothers, and prior to that at Citigroup Global Markets and Espirito Santo Investment. She advised on corporate transactions including M&A, financial restructurings and public equity and debt offerings in the US, Europe and Brazil. Ms Rocha Scaff is a member of the LP Committee of the BVCA – the British Private Equity & Venture Capital Association. She is also a member of the LP Advisory Committee of multiple European private equity funds. Ms Rocha Scaff received her MBA from Columbia Business School and her BA in Business Management and Administration from the Universidade Catolica of Lisbon.

Merlin has been driving the M&A digital transformation in EMEA since joining Datasite in 2006. He has served in several leadership roles within the organization, including Head of Sales, Europe, Middle East and Africa and Director of Sales, helping drive technological innovation and deal velocity across the region.
