Last year was an outstanding year for M&A transactions globally and the US was the hottest market. Around $5.9 trillion of M&A deals took place globally in 2021 and the US market accounted for 45% of the deals.
US dealmakers were expecting 2022 to be another exceptional year but the Ukraine crisis could now dampen the market. It is leading to heightened economic uncertainty and skyrocketing oil and natural gas prices. Inflationary pressures are mounting. The West's security situation has also deteriorated markedly. Will American companies and investors want to continue with M&A transactions in these circumstances or could they enter a 'wait and see' mode?

Cary Kochman is Co-Head of Citi’s Global Mergers & Acquisitions Group and serves as the Chairman of the Chicago Office. He is also a member of the Global BCMA Operating Committee. Banking, Capital Markets and Advisory (BCMA) encompasses all corporate and investment banking activities including: coverage, lending, capital raising (debt and equity) and M&A. He has 30+ years of investment banking experience. Prior to joining Citigroup in 2011, Cary was Global Head of M&A for UBS and Co-Head of the Midwest Region. Prior to joining UBS in 2004, Cary served as the Head of the U.S. M&A Department for Credit Suisse.
He holds both his J.D. and M.B.A. from the University of Chicago. While at the University of Chicago, Cary attended the London Business School and undertook a Nikko Fellowship for study in Tokyo. He is a graduate of the Honors College at the University of Illinois at Chicago. Cary is a member of the Illinois Bar and has completed both the C.P.A. and C.M.A. examinations. In the past, he has served as an advisory board member (Chicago Booth Council) at the University of Chicago Booth School and as an advisory board member to the University of Chicago Law School. He has also served as a Trustee of CENSA (Council for Emerging National Security Affairs).
Cary Kochman specializes in advising on mergers, acquisitions, divestitures, corporate takeovers and hostile and activist defense. He has completed transactions with an aggregate value in excess of $1 trillion.

Described as “incredibly intelligent” and “impressive” by interviewees in Chambers USA (2019), Lande Spottswood is an accomplished corporate lawyer who focuses her practice on large and complex strategic transactions, often in the energy and industrial sectors. Her clients include public and private companies, as well as private equity firms.
Lande advises on mergers, acquisitions, dispositions, restructurings, spinoffs, and joint ventures, as well as preferred investments and other capital-raising transactions. She also provides counsel on general corporate issues and she advises boards of directors and special committees with respect to conflicted transactions.
Since the beginning of 2010, Lande has advised participants in more than 30 public company mergers or change-of-control transactions. She also counseled clients involved with many of the largest MLP transactions of the last decade. Lande is regularly recognized as a leading M&A practitioner by legal trade publications, including Chambers USA for her Corporate and M&A practice, and by Legal 500, Texas Lawyer and Super Lawyers. Some of her recent experience includes representing Blackstone Infrastructure Partners in its $3.3 billion acquisition of a controlling interest in Tallgrass Energy and subsequent agreement to purchase all outstanding publicly-held, and RSP Permian in its $9.5 billion sale to Concho Resources, creating the largest unconventional shale producer in the Permian Basin.

Mark Williams is Chief Revenue Officer, Americas at Datasite, a position he has held since 2015.
In his role, Mark is responsible for setting and executing the sales strategy across the region, including leading over 130 sales representatives and sales leaders across the United States, Canada and Latin America. He is based in Charlotte, North Carolina.
Prior to joining Datasite, Mark held several sales leadership roles in a variety of SaaS companies. Most recently, he served as Chief Revenue Officer at SmartFocus, a cloud-based digital marketing platform provider. Prior, Mark was Vice President of Sales for Kno, an Andreesen Horowitz backed Education Technology startup, acquired by Intel.
Mark graduated with a BSc in Mechanical Engineering from Humberside University, England.
