Best Efforts Underwriting

Definition:

An offering in which the underwriters act as the issuer’s agent and only agree to use their best efforts to sell securities to the public. In contrast to a Firm Commitment Underwriting, the underwriters neither purchase any of the securities nor commit to sell a certain number of securities.
