CEO/CFO Certifications
Definition:
A written statement signed by the CEO and CFO of a publicly traded company that attests to their control over and acceptance of responsibility for Internal Controls relating to financial reporting. The CEO/CFO Certifications are required under the Sarbanes-Oxley Act and are a means of holding executives accountable for fraudulent Financial Statement(s). Such certifications are required to be attached as exhibits to periodic reports and includes two sets of certifications that the CEO and CFO must sign.
