What is Flowback?

Definition:

For securities offered pursuant to Regulation S to non-US persons outside of the United States, the risk that such foreign investors will sell such securities to US Persons or otherwise into the United States. The Safe Harbor provisions of Regulation S are intended to reduce the risk of Flowback.
