Non-Executive Director

Definition:

A member of a company’s Board of Directors (BoD) who is not part of the executive team. A Non-Executive Director does not engage in the day-to-day management of the company, but is involved in planning and policy making and is often included for positive public relations exposure. Generally, they are held equally liable as the Executive Officers.
