What is an Operating Agreement?
Definition:
An agreement formed upon the establishment of a Limited Liability Company (LLC) that governs the LLC’s business and sets forth the rights, obligations, and powers of each member or manager. The Operating Agreement may be used as evidence that the LLC is a structure distinct from its owner(s).
