Primary Offering

Definition:

An offering of debt or equity securities (such as an IPO) in the Primary Markets. A Primary Offering will generally be the first time the issuer’s securities are registered with the SEC.

Primary Offerings should be distinguished from Secondary Offerings.

Primary Offering means an offering by the Issuer.
