Section 12 of the Securities Act
Definition:
Section 12 of the Securities Act, entitled “Civil Liabilities Arising in Connection with Prospectuses and Communications.” Imposes civil liability where a person offers or sells unregistered securities that must be registered. This section is broader in scope than Section 11 of the Securities Act, which is confined to Registration Statements.
