Section 4(a)(7)

Definition:

An exemption providing for private resales of Restricted Securities and control securities. Section 4(a)(7) of the Securities Act provides a statutory basis for resales of securities by persons other than the issuer, who previously relied on the Section 4(a)(1-1/2) Private Placement procedures.

Section 4(a)(7) was adopted as part of the FAST Act on December 4, 2015.
