Smaller Reporting Company

Definition:

An SEC classification of an issuer that is not: (i) an Investment Company; (ii) an asset-backed issuer; or (iii) a majority-owned subsidiary of a parent company that is not a Smaller Reporting Company and that has either (a) a Public Float of less than US$250 million or (b) less than US$100 million in annual revenues for its most recently completed fiscal year and either no Public Float or Public Float of less than US$700 million.
