Style Manual

Definition:

An underwriter’s in-house guidelines for the style and format of the documents it produces, including offering documents. It includes guidance on typefaces, layout of the cover page, and the description of underwriting arrangements. All members of a transaction team should follow the underwriter’s Style Manual, although these guides are typically designed for SEC-registered offerings and certain guidance may not apply to Private Placement documents.
