Well-Known Seasoned Issuer (WKSI)

Definition:

An SEC classification of an issuer that: (i) has a Public Float of a minimum of US$700 million or has issued in the last three years a minimum of US$1 billion aggregate amount of nonconvertible securities, other than common equity; and (ii) is otherwise Form S-3 Registration Statement or Form F-3 Registration Statement (as applicable) eligible. If an issuer is deemed to be a WKSI, the issuer can rely on certain exemptions from the SEC rules applicable to offerings.
