Wells Notice

Definition:

A letter sent by the SEC to an individual or entity when it is planning to bring an enforcement action against them giving them the opportunity (via a written response known as a Wells Submission) to persuade the regulator not to go forward with the enforcement action. Named after the Wells Committee that created the process in 1972.
